Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (“you,” “your,” or “Customer”) and Avenir Labs, a business registered in India at 40, Gandhi Market, Minto Road, New Delhi 110002 (“Avenir Labs,” “we,” “us,” or “our”). They govern your access to and use of avenirlabs.com and our self-serve products — the Amazon Ads MCP and Amazon Listings MCP servers and related services (together, the “Services”).

By creating an account, subscribing, or using the Services, you agree to these Terms and to our Privacy Policy and Refund Policy. If you do not agree, do not use the Services.

1. Eligibility & accounts

• You must be at least 18 years old and able to form a binding contract. If you use the Services for an organization, you represent that you are authorized to bind it, and “you” includes that organization.
• You must provide accurate registration information and keep it current.
• You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized use.

2. The Services

The Services are self-serve software tools (including MCP servers) that connect to your Amazon Selling Partner and/or Amazon Advertising account, with your authorization, and let you and the AI client you choose to connect query and act on your Amazon data. We may add, change, or remove features, and may offer beta or experimental features “as available,” which may be modified or discontinued at any time.

3. Amazon connection & third-party services

• You authorize us to access your Amazon account through Amazon’s official APIs to provide the Services. You may revoke this access at any time by disconnecting your account.
• You are responsible for complying with all applicable Amazon policies and agreements, including the Amazon Services Business Solutions Agreement, Advertising policies, and Acceptable Use Policy, and for all actions taken in or on your Amazon account through the Services.
• The Services rely on third-party platforms and the AI client you connect. We are not responsible for the availability, accuracy, or actions of those third parties, including Amazon and any AI model or assistant you use.
• Avenir Labs is an independent tool provider and is not affiliated with, endorsed by, or sponsored by Amazon. “Amazon” and related marks are trademarks of Amazon.com, Inc. or its affiliates.

4. Subscriptions, billing & renewal

• Plans. The Services are offered on monthly or annual subscription plans at the prices shown at checkout. Current pricing includes each MCP server at $19/month or $199/year, and the Ads + Listings bundle at $29/month or $299/year. Prices may change on a going-forward basis.
• Merchant of record. Payments are processed by our reseller and merchant of record, Paddle. Your purchase is also subject to Paddle’s buyer terms, and applicable taxes (such as VAT/GST) may be added and collected by them.
• Auto-renewal. Subscriptions renew automatically for the same term at the then-current price until cancelled. By subscribing, you authorize recurring charges through the payment provider.
• Cancellation. You may cancel at any time; cancellation stops the next renewal and your access continues until the end of the current paid period.
• Refunds. Refunds are governed by our Refund Policy.

5. Acceptable use

You agree not to:

• use the Services in violation of any law or any Amazon or third-party policy;
• access or use data you are not authorized to access, or use the Services on an Amazon account you do not own or control;
• reverse engineer, decompile, copy, resell, sublicense, or create derivative works from the Services except as permitted by law;
• circumvent usage limits or rate limits, or interfere with, disrupt, or overload the Services or Amazon’s systems;
• introduce malware, attempt unauthorized access, or probe or scan the Services’ security; or
• use the Services to send spam, or for any fraudulent, abusive, or harmful purpose.

6. Your data & AI outputs

• As between you and us, you retain all rights to your account data and Amazon data (“Customer Data”). You grant us a limited license to process Customer Data solely to provide, secure, and improve the Services and as described in our Privacy Policy.
• You are responsible for the AI client you connect and for any outputs it generates, and for reviewing those outputs before relying on or publishing them (including any listing content, pricing, or advertising changes). Outputs may be inaccurate; you must ensure your use complies with Amazon policies and applicable law.

7. Intellectual property

We and our licensors own all rights in the Services, including software, MCP servers, designs, and the Avenir Labs name and marks. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services during your subscription. If you give us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction.

8. Confidentiality

Each party may access non-public information of the other. Each party agrees to protect the other’s confidential information with reasonable care and to use it only to perform under these Terms.

9. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that they will meet your requirements. We do not guarantee any particular business result — including sales, rankings, advertising performance, or return on ad spend. Nothing in the Services constitutes financial, legal, tax, or business advice; decisions you make using the Services are your own.

10. Limitation of liability

To the maximum extent permitted by law, Avenir Labs will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Services, even if advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to the Services will not exceed the amounts you paid to us (or to our merchant of record for the Services) in the 12 months before the event giving rise to the claim, or USD 100, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless Avenir Labs and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, your Customer Data, your Amazon account, or your breach of these Terms or of any Amazon or third-party policy.

12. Suspension & termination

• You may stop using the Services and cancel at any time as described above.
• We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Services in a way that risks harm to us, other users, Amazon, or third parties.
• On termination, your right to use the Services ends. Provisions that by their nature should survive (including IP, disclaimers, liability limits, and indemnity) will survive.

13. Changes to the Terms

We may update these Terms from time to time. We will post the revised version with a new “Last updated” date and, for material changes, take reasonable steps to notify you. Continued use after the changes take effect constitutes acceptance.

14. Governing law & disputes

These Terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to the arbitration provision below, the courts at New Delhi, India have exclusive jurisdiction.

Any dispute arising out of or relating to these Terms or the Services will, failing amicable resolution, be finally settled by arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be New Delhi, India, and the language will be English.

15. General

• Entire agreement. These Terms, the Privacy Policy, and the Refund Policy are the entire agreement between you and us regarding the Services.
• Severability. If any provision is unenforceable, the rest remains in effect.
• No waiver. Our failure to enforce a provision is not a waiver.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
• Notices. We may notify you by email or through the Services.
